Public Meeting on Proposed Change in Control and Governance of Mission Hospital Regional Medical Center & Hoag Memorial Hospital Presbyterian

The California Attorney General is reviewing the proposed change in control and governance of St. Joseph Health System, a California nonprofit public benefit corporation, and Providence Health & Services, a Washington nonprofit corporation, as required by Corporations Code section 5920et seq. St. Joseph Health System controls the nonprofit corporation that owns and operates Mission Hospital Regional Medical Center which has campuses located in Mission Viejo and Laguna Beach, and Hoag Memorial Hospital Presbyterian which has campuses in Newport Beach and Irvine. The “Health System Combination Agreement” is between St. Joseph Health System and Providence Health & Services. The Agreement establishes a system wide level of governance of both nonprofit corporations through the creation of a new Washington nonprofit corporation called Providence St. Joseph Health also referred to as NewCo.

The California Attorney General will conduct a public meeting concerning Mission Hospital Regional Medical Center, and Hoag Memorial Hospital Presbyterian on April 20, 2016, beginning at 9:00 a.m., at Mission Viejo City Hall, Council Chamber, 200 Civic Center, Mission Viejo, CA 92691. The purpose of the public meeting is to receive comments on the proposed change in control and governance of each facility and to consider the Health Care Impact Statement prepared by consultants engaged by the California Attorney General in connection with the California Attorney General's review of this proposed transaction, as required by Corporations Code section 5920 et seq. Prior to the public meeting, the Health Care Impact Statement will be available on the California Attorney General's website at http://www.oag.ca.gov/charities/nonprofithosp.

Persons wishing to present their views orally at the public meeting may do so by submitting a sign-up sheet available at the public meeting, by sending an email to scott.chan@doj.ca.gov by April 18, 2016, or by calling Scott Chan (415) 703-5652 by April 18, 2016. Any individual with a disability seeking reasonable accommodations to attend or participate in the public meeting or to obtain materials or information on the public meeting in an alternative format should contact Scott Chan at least five days before the public meeting.

The terms of the proposed transaction are set forth in a written notice to the California Attorney General. A CD of the written notice is available upon request by email to scott.chan@doj.ca.gov or by telephone at (415) 703-5652. A copy of the written notice of the proposed transaction is also available for public inspection at Mission Hospital Regional Medical Center’s Administration Office, 27700 Medical Center Road, Mission Viejo, CA 92691, and Mission Hospital Laguna Beach’s Administration Office, 31872 Coast Highway, Laguna Beach, CA 92651, and Hoag Hospital Newport Beach’s Corporate Communications Office, 510 Superior Ave., Suite 290, Newport Beach, CA 92663, and Hoag Hospital Irvine’s Administration Office, 16200 Sand Canyon Ave, Irvine, CA 92618.
